Dory Terms of Service

1. TL;DR (Plain English Summary)

Dory is a local delivery platform serving Kodiak Island Borough, Alaska. Here is what you need to know up front:

  • You must be 18 or older to use Dory in any capacity.
  • All prices include tax. What you see is what you pay.
  • We never use surge pricing. Ever.
  • 100% of your tip goes to the driver. 100% of the delivery fee goes to the driver.
  • Customers pay a 5% service fee on each order.
  • Delivery fees are zone based: $5.99, $7.99, or $10.99 depending on distance.
  • Drivers are independent contractors, not employees.
  • Restaurants receive their payout daily (funds settle in about two business days).
  • Restaurants never see your full name, phone number, or exact address.
  • If you cancel before the restaurant accepts your order, you get a full refund. After acceptance, refunds are at admin discretion.
  • Alaska law governs this agreement and disputes are resolved in Kodiak courts.
  • We can update these terms. We will give you notice when we do.

2. Definitions

"Platform" means the Dory website, mobile applications, APIs, and all related services operated at dory.delivery and its subdomains (customer.dory.delivery, driver.dory.delivery, partner.dory.delivery, admin.dory.delivery).

"Psili Labs," "Dory," "we," "us," or "our" means Psili Labs LLC, an Alaska limited liability company doing business as Dory, EIN #10364669.

"User," "you," or "your" means any individual or entity that accesses or uses the Platform.

"Customer" means a User who places orders for food delivery through the Platform.

"Driver" means a User who has been approved to perform deliveries through the Platform as an independent contractor.

"Restaurant," "Restaurant Partner," or "Partner" means a food establishment that has agreed to list its menu and fulfill orders through the Platform, including any Restaurant Staff operating on its behalf.

"Restaurant Staff" means a User authorized by a Restaurant Partner to manage orders, menus, and restaurant settings on the Platform.

"Admin" means an authorized Dory employee or operator with administrative access to the Platform.

"Order" means a Customer's request to purchase and have food delivered from a Restaurant Partner through the Platform.

"Service Area" means Kodiak Island Borough, Alaska, the sole geographic area in which the Platform operates.

"Delivery Fee" means the zone based fee charged to the Customer for delivery ($5.99, $7.99, or $10.99), 100% of which is passed through to the Driver.

"Service Fee" or "Platform Fee" means the 5% fee charged to the Customer, calculated on the order subtotal plus delivery fee.

"Commission" means the percentage of the food subtotal retained by Dory from each order processed through a Restaurant Partner, tiered by order size (15% under $20, 12% from $20 to $50, 10% at $50 and above).

"Stripe Connect" means the payment processing infrastructure provided by Stripe, Inc. used to process payments and facilitate payouts.


3. Acceptance and Eligibility

3.1 Agreement to Terms

By accessing or using the Platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

3.2 Age Requirement

You must be at least 18 years of age to create an account or use the Platform in any capacity, whether as a Customer, Driver, Restaurant Staff, or Admin. By using the Platform, you represent and warrant that you are at least 18 years old.

3.3 Legal Capacity

You represent that you have the legal capacity to enter into a binding agreement. If you are acting on behalf of a business entity (for example, as Restaurant Staff), you represent that you have authority to bind that entity to these Terms.

3.4 Service Area

The Platform operates exclusively within Kodiak Island Borough, Alaska. You acknowledge that delivery services are limited to this geographic area.


4. Account Registration and Security

4.1 Account Creation

To use certain features of the Platform, you must create an account by providing accurate, current, and complete information. You may register using phone number (via SMS verification) or email.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Dory immediately at contact@dory.delivery if you become aware of any unauthorized use of your account.

4.3 One Account Per Person

Each User may maintain only one account per role on the Platform. Account sharing, selling, transferring, or lending is prohibited.

4.4 Accurate Information

You agree to keep your account information accurate and up to date. Dory reserves the right to suspend or terminate accounts that contain materially false or outdated information.


5. Platform Description and Scope

5.1 What Dory Does

Dory is a technology platform that connects Customers with local Kodiak restaurants and independent delivery Drivers. Dory facilitates the ordering, payment, and delivery process but does not itself prepare food or perform deliveries.

5.2 Kodiak Only

The Platform serves Kodiak Island Borough, Alaska exclusively. Orders with delivery addresses outside the Service Area will be rejected.

5.3 Marketplace Role

Dory acts as a marketplace and payment facilitator. Dory is not a restaurant, food preparation service, employer of Drivers, or common carrier. Restaurants are solely responsible for food quality, safety, accuracy, and allergen disclosures. Drivers are solely responsible for safe and timely transportation of orders.

5.4 No Guarantee of Availability

Availability of restaurants, menu items, and delivery Drivers may vary. Dory does not guarantee that any particular restaurant will be available, that any menu item will be in stock, or that a Driver will be available at any given time.


6. Pricing and Fees

6.1 Tax Inclusive Pricing

All prices displayed on the Platform include applicable sales tax. The price you see on a menu item is the price you pay for that item. Tax amounts are shown on receipts for informational purposes only and are never added on top of displayed prices.

6.2 Order Charges (Customer)

Each order includes the following itemized charges:

  • Food subtotal: the sum of menu item prices (tax included).
  • Delivery fee: a zone based fee of $5.99, $7.99, or $10.99 depending on the delivery distance and zone.
  • Service fee: 5% of the order subtotal plus delivery fee.
  • Tip (optional): a voluntary gratuity for the Driver.

6.3 No Surge Pricing

Dory does not use surge pricing, dynamic pricing, or demand based price adjustments. Delivery fees and service fees remain the same regardless of order volume, time of day, weather, or any other variable.

6.4 No Hidden Fees

All fees are displayed before you confirm your order. There are no takedown fees, cancellation penalties (except as described in Section 8), subscription fees, or any other hidden charges.

6.5 Price Changes

Dory may adjust delivery fees, service fee percentages, or commission rates with reasonable notice. Changes will not apply to orders already placed and confirmed.


7. Payments and Payouts

7.1 Payment Processing

All payments are processed through Stripe. By placing an order, you authorize Stripe to charge your selected payment method for the full order total. Dory does not store credit card numbers or banking details directly.

7.2 Driver Payouts

Drivers receive payouts daily via Stripe Connect Express. Funds settle approximately two business days after the delivery is completed (T+2 settlement). Each payout includes:

  • 100% of the delivery fee for each completed order.
  • 100% of any tip left by the Customer.
  • Any applicable top up amount if the delivery fee plus tip falls below the driver minimum guarantee.

7.3 Restaurant Payouts

Restaurant Partners receive payouts daily via Stripe Connect Express with T+2 settlement. Each payout equals the food subtotal minus the applicable commission, which is tiered by order size: 15% on a food subtotal under $20, 12% from $20 up to $50, and 10% at $50 and above. There are no takedown fees, prep time charges, or hidden deductions.

7.4 Tips

Tips are optional and entirely at the Customer's discretion. 100% of every tip goes directly to the Driver. Dory never retains any portion of tips.

7.5 Payment Disputes

If you believe a charge is incorrect, contact us at contact@dory.delivery within 30 days of the charge. We will review the matter and issue corrections as warranted.


8. Orders, Cancellations, and Refunds

8.1 Order Process

When a Customer places an order, the order is transmitted to the Restaurant Partner for acceptance. The Restaurant may accept or decline the order. Once accepted, the Restaurant begins preparation. A Driver is assigned to pick up and deliver the order.

8.2 Order Status

Orders progress through the following statuses: pending, accepted, preparing, ready, picked up, en route, delivered. Orders may also be marked as cancelled or refunded.

8.3 Cancellation by Customer

  • Before restaurant acceptance: if you cancel an order before the Restaurant Partner has accepted it, you will receive a full refund.
  • After restaurant acceptance: if you cancel after the Restaurant has accepted and begun preparing your order, any refund is at the sole discretion of a Dory administrator. Partial refunds may be issued depending on the stage of preparation and delivery.

8.4 Cancellation by Restaurant or Driver

If a Restaurant Partner cancels your order (for example, due to an item being unavailable), you will receive a full refund. If a Driver is unable to complete a delivery after pickup, Dory will work to reassign the delivery or issue a refund as appropriate.

8.5 Cancellation by Dory

Dory reserves the right to cancel any order for reasons including suspected fraud, platform abuse, or safety concerns. In such cases, you will be refunded for any amounts already charged.

8.6 Refund Processing

Refunds are processed through Stripe and returned to the original payment method. Processing times depend on your financial institution, typically three to ten business days.

8.7 Order Issues

If you receive an incorrect, incomplete, or damaged order, contact us at contact@dory.delivery. We will review the issue and determine appropriate resolution, which may include a partial or full refund, credit, or redelivery.


9. Driver Terms

9.1 Independent Contractor Status

Drivers are independent contractors, not employees, agents, or representatives of Dory. Nothing in these Terms creates an employment relationship, partnership, joint venture, or agency relationship between Dory and any Driver. Drivers are free to set their own schedules, accept or decline delivery requests, and provide services to other platforms or businesses.

9.2 Driver Requirements

To be approved as a Driver, you must:

  • Be at least 18 years of age.
  • Hold a valid driver's license.
  • Maintain current vehicle registration and insurance that meets Alaska state minimums.
  • Pass identity verification through Stripe Identity (document and selfie verification).
  • Submit to a motor vehicle record (MVR) review.
  • Have a reliable vehicle suitable for food delivery.
  • Maintain an active Stripe Connect Express account for payouts.

9.3 Driver Responsibilities

Drivers are responsible for:

  • Complying with all applicable traffic laws, vehicle regulations, and food safety standards.
  • Maintaining adequate personal vehicle insurance. Dory does not provide commercial auto insurance coverage for Drivers.
  • Handling food orders with care and delivering them in a timely manner.
  • Communicating professionally with Customers and Restaurant Staff.
  • Keeping their vehicle clean, safe, and in good working condition.
  • Accurately reporting their location through the Platform while on active deliveries.

9.4 Driver Guarantee

Dory provides a per delivery minimum guarantee of $10. If a Driver's combined delivery fee plus tip for a completed delivery falls below $10, Dory will provide a top up to bring the total to $10.

9.5 Taxes and Reporting

As independent contractors, Drivers are solely responsible for reporting and paying all applicable federal, state, and local taxes on their earnings. Dory will issue 1099 forms as required by law.

9.6 Deactivation

Dory may deactivate a Driver's account for reasons including but not limited to: safety violations, repeated Customer complaints, failure to maintain required insurance or documentation, fraud, or violation of these Terms.


10. Restaurant Partner Terms

10.1 Commission Structure

Restaurant Partners pay a commission on the food subtotal of each completed order. The rate is tiered by order size:

  • Food subtotal under $20: 15%.
  • Food subtotal from $20 up to $50: 12%.
  • Food subtotal of $50 or more: 10%.

The applicable rate is determined per order from this schedule and applied automatically.

10.2 No Additional Fees

There are no takedown fees, activation fees, prep time charges, photo fees, or other hidden costs imposed on Restaurant Partners. Restaurant payout equals the food subtotal minus commission. That is the complete deduction.

10.3 Menu Management

Restaurant Partners are responsible for maintaining accurate and up to date menus on the Platform, including item names, descriptions, prices, availability, and allergen or dietary information. All listed prices must include applicable tax.

10.4 Order Acceptance

Restaurant Partners agree to accept or decline incoming orders promptly. Consistently failing to respond to orders, or accepting orders and then cancelling them, may result in temporary suspension or removal from the Platform.

10.5 Food Safety and Quality

Restaurant Partners are solely responsible for food preparation, quality, safety, allergen management, and compliance with all applicable health codes and regulations.

10.6 POS Integration

Where applicable, Dory may integrate with a Restaurant Partner's point of sale system. Restaurant Partners are responsible for ensuring their POS systems function correctly with the Platform.

10.7 Customer Privacy

Restaurant Partners receive only the information necessary to fulfill orders: Customer first name, delivery zone, and order details. Restaurant Partners never receive Customer surnames, phone numbers, email addresses, or exact delivery addresses through the Platform. This privacy protection is a core platform commitment.


11. Customer Terms

11.1 Ordering

By placing an order, you are making an offer to purchase food from a Restaurant Partner, with delivery facilitated by the Platform. Your order is confirmed when the Restaurant Partner accepts it.

11.2 Delivery Address

You must provide an accurate delivery address within Kodiak Island Borough. Delivery to addresses outside the Service Area is not available.

11.3 Availability

You agree to be available to receive your delivery at the specified address. If a Driver is unable to deliver your order because you are unreachable or unavailable, you may not be entitled to a refund.

11.4 Allergens and Dietary Restrictions

Dory does not independently verify allergen information, nutritional content, or dietary claims made by Restaurant Partners. If you have allergies or dietary restrictions, you should contact the restaurant directly before placing your order. Dory is not responsible for adverse reactions to food consumed through orders placed on the Platform.

11.5 Alcohol

If Restaurant Partners offer alcoholic beverages through the Platform, applicable age verification and legal requirements apply. Drivers may request valid government issued identification before releasing orders containing alcohol.


12. Acceptable Use and Prohibited Conduct

12.1 General Conduct

You agree to use the Platform only for its intended purpose and in compliance with all applicable laws and regulations.

12.2 Prohibited Activities

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
  • Provide false, misleading, or inaccurate information during registration or use of the Platform.
  • Share, sell, transfer, or lend your account to any other person.
  • Impersonate any person or entity, or falsely claim an affiliation with any person or entity.
  • Interfere with, disrupt, or place an unreasonable burden on the Platform or its infrastructure.
  • Attempt to gain unauthorized access to the Platform, other user accounts, or Dory systems.
  • Use automated tools, bots, scrapers, or similar technology to access or interact with the Platform without prior written authorization.
  • Harass, threaten, abuse, or behave in a discriminatory manner toward any other User, Driver, Restaurant Staff, or Dory personnel.
  • Use the Platform to transmit any virus, malware, or other harmful code.
  • Circumvent, disable, or otherwise interfere with security features of the Platform.
  • Engage in fraud, including but not limited to placing fraudulent orders, filing false refund claims, or manipulating pricing or promotions.
  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Platform without express written permission from Dory.

12.3 Enforcement

Dory reserves the right to investigate suspected violations and take appropriate action, including suspending or terminating your account, reporting conduct to law enforcement, and pursuing any available legal remedies.


13. User Content and Intellectual Property

13.1 User Content

"User Content" means any content you submit, post, or transmit through the Platform, including reviews, ratings, photos, comments, and profile information.

13.2 License Grant

By submitting User Content, you grant Dory a nonexclusive, royalty free, worldwide, transferable, sublicensable license to use, reproduce, modify, display, and distribute your User Content in connection with operating and promoting the Platform. This license survives termination of your account.

13.3 Content Standards

You represent and warrant that your User Content is accurate, does not violate any third party rights, and complies with these Terms and all applicable laws. You will not post content that is defamatory, obscene, harassing, threatening, or otherwise objectionable.

13.4 Content Removal

Dory reserves the right to remove any User Content at its sole discretion, without notice, for any reason or no reason.

13.5 Dory Intellectual Property

The Platform, including its design, software, logos, trademarks, service marks, and all other content owned by Dory ("Dory IP"), is the exclusive property of Psili Labs LLC. You may not copy, modify, distribute, sell, or lease any part of the Dory IP without prior written consent.


14. Privacy

Your use of the Platform is subject to our Privacy Policy, available at dory.delivery/privacy-policy. The Privacy Policy describes how we collect, use, store, and disclose your personal information. By using the Platform, you acknowledge that you have read and understood our Privacy Policy.

Key privacy commitments relevant to these Terms:

  • Customer personal information (surnames, phone numbers, email addresses, exact delivery addresses) is never shared with Restaurant Partners.
  • Dory uses Stripe for payment processing. Card and banking details are handled by Stripe and never stored on Dory servers.
  • Location data collected from Drivers during active deliveries is used solely for dispatch, delivery tracking, and platform operations.

15. Disclaimers and Limitation of Liability

15.1 Platform Provided "As Is"

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. DORY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON INFRINGEMENT.

15.2 No Warranty of Availability

Dory does not warrant that the Platform will be uninterrupted, error free, secure, or free of viruses or other harmful components.

15.3 Food Quality and Safety

Dory does not prepare, inspect, or guarantee the quality, safety, legality, or suitability of food provided by Restaurant Partners. Dory is not responsible for food borne illness, allergic reactions, or any harm resulting from food ordered through the Platform.

15.4 Delivery Services

Dory does not guarantee delivery times. Estimated delivery times are approximate and may vary based on restaurant preparation time, Driver availability, weather, road conditions, and other factors.

15.5 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DORY, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DORY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO DORY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

15.6 Basis of the Bargain

THE DISCLAIMERS AND LIMITATIONS IN THIS SECTION REFLECT A REASONABLE ALLOCATION OF RISK AND ARE A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN YOU AND DORY. DORY WOULD NOT PROVIDE THE PLATFORM WITHOUT THESE LIMITATIONS.


16. Indemnification

You agree to indemnify, defend, and hold harmless Dory, Psili Labs LLC, and their respective officers, directors, members, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of or inability to use the Platform.
  • Your violation of these Terms.
  • Your violation of any applicable law, regulation, or third party right.
  • Any User Content you submit, post, or transmit through the Platform.
  • Your interaction with any other User, Customer, Driver, or Restaurant Partner.
  • For Drivers: any accident, injury, property damage, or claim arising from your provision of delivery services, including any claims related to your vehicle, insurance, or driving conduct.
  • For Restaurant Partners: any claim related to food quality, food safety, allergens, health code compliance, or misrepresentation of menu items.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Alaska, without regard to its conflict of law principles.

17.2 Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved as follows:

17.3 Informal Resolution

Before initiating any formal proceeding, you agree to contact Dory at contact@dory.delivery and attempt to resolve the dispute informally for at least thirty (30) days.

17.4 Binding Arbitration

If informal resolution fails, any dispute shall be resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Kodiak, Alaska. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

17.5 Small Claims Exception

Either party may bring an individual action in small claims court in Kodiak, Alaska, if the claim qualifies for small claims jurisdiction.

17.6 Class Action Waiver

YOU AND DORY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

17.7 Jurisdiction

For any claims not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in or serving Kodiak Island Borough, Alaska.


18. Modification and Notice

18.1 Changes to Terms

Dory reserves the right to modify these Terms at any time. When we make material changes, we will update the "Effective date" at the top of this document and notify you by one or more of the following methods: email notification, in app notice, or SMS.

18.2 Acceptance of Changes

Your continued use of the Platform after the effective date of revised Terms constitutes acceptance of the revised Terms. If you do not agree with the revised Terms, you must stop using the Platform and close your account.

18.3 Notice

Notices from Dory to you may be sent via email, SMS, in app notification, or posting on the Platform. Notices from you to Dory should be sent to contact@dory.delivery.


19. Termination

19.1 Termination by You

You may close your account at any time by contacting us at contact@dory.delivery. Closing your account does not relieve you of any obligations incurred before termination, including payment for orders already placed.

19.2 Termination by Dory

Dory may suspend or terminate your account at any time, with or without cause, and with or without notice. Reasons for termination include but are not limited to: violation of these Terms, fraudulent activity, safety concerns, inactivity, or any conduct Dory determines is harmful to the Platform, other Users, or third parties.

19.3 Effect of Termination

Upon termination:

  • Your right to access and use the Platform ceases immediately.
  • Any outstanding payment obligations survive termination.
  • For Drivers: any pending payouts for completed deliveries will be processed through the normal payout cycle.
  • For Restaurant Partners: any pending payouts for fulfilled orders will be processed through the normal payout cycle.
  • Sections of these Terms that by their nature should survive termination will survive, including Sections 13, 15, 16, 17, and 20.

20. General Provisions

20.1 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

20.2 Waiver

The failure of Dory to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Dory.

20.3 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly referenced herein, constitute the entire agreement between you and Dory regarding your use of the Platform. These Terms supersede all prior agreements, understandings, and communications, whether written or oral, regarding the subject matter hereof.

20.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without Dory's prior written consent. Dory may assign these Terms freely, including in connection with a merger, acquisition, reorganization, or sale of assets.

20.5 Force Majeure

Dory shall not be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including natural disasters, severe weather, acts of government, pandemics, power outages, internet disruptions, or other force majeure events.

20.6 Relationship of Parties

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Dory, except as expressly stated herein.

20.7 Headings

Section headings are for convenience only and shall not affect the interpretation of these Terms.

20.8 Electronic Communications

By using the Platform, you consent to receiving electronic communications from Dory, including emails, SMS messages, and in app notifications. You agree that all agreements, notices, disclosures, and other communications that Dory provides electronically satisfy any legal requirement that such communications be in writing.
